A and B shall jointly and severally indemnify and keep the Company fully indemnified against any loss, cost, damage or expense (including legal expense) suffered or incurred by reason of, or arising out of or in connection with, any proceeding, claim or demand by A (or any representatives of A) in connection with an assertion that he is or was an employee of, or otherwise engaged directly by, the Company (including any claim by A for redundancy pay).
